Pathfinder Ventures Inc. Announces Tranche Closing of Financing and Extension of Private Placement
Vancouver, British Columbia – April 9, 2026 – Pathfinder Ventures Inc. (TSXV: RV) (the “Company” or “Pathfinder”) is pleased to announce that it has closed a first tranche of its non-brokered private placement (the “Offering”) announced January 20, 2026 and extended March 12, 2026. The Company issued 14,329,120 units (the “Units”) at a price of $0.05 per Unit for gross proceeds of $716,456, with each Unit consisting of one common share of the Company and one-half of one common share purchase warrant (each whole warrant, a “Warrant”). Each Warrant is exercisable to purchase one additional common share of the Company at a price of $0.10 per share for a period of 36 months, subject to accelerated expiry upon the occurrence of certain events.
In connection with the first tranche, the Company paid finder’s fees of $50,151.92 and issued 1,003,038 finder’s warrants (the “Finder’s Warrants”), having the same terms as the Warrants. The Company intends to use the net proceeds of the Offering for general working capital purposes and to support ongoing growth initiatives across its portfolio of modular housing and RV resort communities. All securities issued pursuant to the first tranche of the Offering are subject to a statutory hold period of four months and one day in accordance with applicable securities laws.
Completion of the Offering remains subject to final acceptance by the TSX Venture Exchange. The Company intends to extend the Offering for a further 30 days, subject to Exchange approval.
